Post-IPO Compliance in India: Complete Guide for Listed Companies
The LODR disclosures, governance rules and filing calendar a company has to follow once it lists.
India has more than 7,500 listed companies, and 375 listed in 2025 alone, raising about ₹1.95 lakh crore. After listing, each of them has to disclose results and events on a fixed calendar and meet stricter governance rules.
Companies that fall behind face fines and, in serious cases, suspension of trading. Companies that keep up find it easier to raise money again.
The regulatory framework
- SEBI LODR Regulations, 2015: disclosures, board composition, financial reporting and material events
- Companies Act, 2013: governance, board duties, audit and annual reporting
- NSE/BSE listing agreements: exchange rules on trading and investor communication
Corporate governance after the IPO
- At least one-third independent directors (one-half where the chairperson is executive)
- At least one woman director on the board
- An Audit Committee of at least three directors, chaired by an independent director
- Nomination & Remuneration and Stakeholders' Relationship Committees
Periodic reporting and disclosures
The exchanges fine late filers, starting at ₹1,000 a day. Material events such as mergers, acquisitions, litigation, senior resignations or regulatory action generally have to be disclosed within 24 hours.
Insider-trading controls
- Maintain a structured digital database of persons with access to UPSI
- Adopt a code of conduct for the prevention of insider trading
- Close the trading window before results and other UPSI events
- Require pre-clearance for trades above specified thresholds
- Appoint a Compliance Officer, typically the Company Secretary
Post-IPO compliance checklist
- Board and committees constituted as per SEBI LODR
- Quarterly results, shareholding pattern and governance report filed on time
- Annual report dispatched before the AGM and annual secretarial compliance report submitted
- Whistle-blower policy published and investor grievance system (SCORES) active
- Minimum public shareholding of 25% maintained
